GENERAL EULA LICENSE

End User License Agreement (EULA) for desktop font software

 

This Font Software End User License Agreement (the “EULA” or “Agreement”) is a binding contract between you and Reber S.r.l. Unipersonale (further on also only “Reber”). By obtaining and/or installing the font software, you agree to the terms and conditions set forth in this Agreement.

1. Definitions

“EULA” or “Agreement” means the present contract.

 

“Licensed Unit” means up to two (2) Workstations connected to no more than one (1) printer with a non-volatile memory (for example, a hard drive). If you intend to use the Font Software on more equipment than permitted by a Basic Licensed Unit, you must obtain a further License from Reber.

 

“Derivative Work” means binary data based upon or derived from Font Software (or any portion of Font Software) in any form in which such binary data may be recast, transformed, or adapted including, but not limited to, binary data in any format into which Font Software may be converted.

 

“Font Software” means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software may include upgrades or updates (each of which may be provided to you by Reber in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

 

“Reber” means Reber S.r.l. Unipersonale, its successors and assigns, its parent and affiliated corporations, its authorized distributors, and any third party that has licensed to Reber any or all of the components of the Font Software supplied to you pursuant to the Agreement.

 

“Use” of the Font Software shall occur when an individual is able to give commands (whether by keyboard or otherwise) that are followed by the Font Software, regardless of the location in which the Font Software resides. “Use” of the Font Software shall also occur when the software or instructions are executed.

 

“Workstation” means a hardware component in which an individual is able to give commands (whether by keyboard or otherwise) that are followed by the Font Software or implement the Font Software, regardless of the location in which the Font Software resides.

 

“Reber” is a trademark of Reber S.r.l. Unipersonale

 

“R41” is a trademark of Reber S.r.l. Unipersonale

 

 

 

  1. Binding Agreement

You are bound by the EULA and you acknowledge that all Use of the Font Software supplied to you by Reber is governed by the EULA.

REBER DOES NOT REFUND PURCHASERS THAT AGREED TO THIS EULA.

3. License Grant

You are hereby granted a non-exclusive, non-assignable, non-transferable (except as expressly permitted herein) license to access the Font Software only in a Licensed Unit, only subject to all of the terms and conditions of the Agreement.

4. Embedding Font Software and Representations of Typeface and Typographic Designs and Ornaments

You may embed the Font Software only into an electronic document that (i) is not a Commercial Product, (ii) is distributed in a secure format that does not permit the extraction of the embedded Font Software, and (iii) in the case where a recipient of an electronic document is able to Use the Font Software for editing, only if the recipient of such document is within your Licensed Unit.

5. Server Use

The Font Software may not be installed or Used on an internal or external (i.e., internet accessed) server unless all Workstations that can access such server are part of a Licensed Unit.

6. Commercial Printers

You may embed the Font Software in an electronic document solely for print and view and provide such electronic document to a commercial printer for printing only.

7. Alterations to Font Software

You may not alter Font Software for the purpose of adding any functionality that such Font Software did not have when delivered to you by Reber. If the Font Software contains embedding bits that indicate that the Font Software is only authorized for certain purposes, you may not change or alter the embedding bits.

8. Transfer of the Font Software

You may not rent, lease, sublicense, give, lend, or further distribute the Font Software, or any copy thereof.

9. License Fee

The Fee for the Font Software License is not reimbursable.

10. Intellectual and Industrial Property Rights

You specifically acknowledge that the Font Software is protected by the copyright law and other intellectual and industrial property rights, by the copyright law and other intellectual and industrial property rights of nations, and by international treaties. You agree to treat the Font Software as you would any other copyrighted material, such as a book. You may not copy the Font Software, except as expressly provided herein. You agree not to adapt, modify, alter, translate, convert, or otherwise change the Font Software, or to create Derivative Works from Font Software or any portion thereof. You further agree not to use Font Software in connection with software and/or hardware which create Derivative Works of such Font Software. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or instructions of the Font Software. You acknowledge that Reber owns all rights, titles and interests in and to the Font Software, its structure, organization, code, and related files, including all intellectual and industrial property rights therein such as copyright, design and trademarks rights. You agree that the Font Software, its structure, organization, code, and related files are valuable property of Reber and that any intentional or negligent Use of the Font Software not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights.

Trademarks associated with the Font Software can only be used to identify printed output produced by the Font Software. Such use of the trademarks does not give you any rights of ownership in those trademarks and all use of any trademark shall inure to the sole benefit of Reber. You may not change any trademark or trade name designation for the Font Software.

11. Termination

Upon failure by you (or any authorized person or member of your immediate household to whom you have given permission to Use the Font Software) to comply with the terms of this Agreement, Reber shall be entitled to terminate this Agreement upon notice by telefax, certified email or email. The termination of the Agreement shall not preclude Reber from claiming damages from you for breach of the Agreement.

12. Applicable law and jurisdiction

The present EULA is subject to the United Nations Convention on Contracts for the International Sale of Goods (CISG), adopted in Vienna on April 11th 1980.   

Any legal or equitable action or proceeding arising out of, or in connection with, this Agreement shall be brought exclusively before the Court of Trieste, Italy.

13. General Terms and Conditions

You confirm that you have separately acknowledged and agreed to Reber’s General Terms and Conditions (http://www.r41.it) which include provisions relating to governing law and jurisdiction.

 

 

End User License Agreement (EULA) for mobile application font software

 

This Font Software for Mobile Applications End User License Agreement (the “EULA” or “Agreement”) is a binding contract between you and Reber S.r.l. Unipersonale (further on also only “Reber”). By obtaining and/or installing the font software, you agree to the terms and conditions set forth in this Agreement.

1. Definitions

 

“Application(s)” means a separate and distinct stand-alone Software Product, which may be a Commercial Product, which runs on a platform and is made available by you to End Users or by you to a distributor who then makes such Application available to End Users.

 

“Commercial Product” means a product in which the Font Software has been embedded and which is offered for distribution to the general public (or to some subset of the general public) for a fee or other consideration or as a result of your business activity.

 

“Derivative Work”  means binary data based upon or derived from Font Software (or any portion of the Font Software) in any form in which such binary data may be recast, transformed, or adapted including, but not limited to, binary data in any format into which Font Software may be converted.

 

“Distributions”  means the number of units downloaded or installs of the Application that embeds the Font Software.

 

“End User(s)” means the individual or entity which downloads an Application to run on a platform designed to run such Application.

 

“Font Software”  means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Reber in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

 

“Reber” means Reber S.r.l. Unipersonale, its successors and assigns, its parent and affiliated corporations, its authorized distributors, and any third party that has licensed to Reber any or all of the components of the Font Software supplied to you pursuant to the Agreement.

  1. Binding Agreement

You are bound by the EULA and you acknowledge that all Use of the Font Software supplied to you by Reber is governed by the EULA.

  1. License Grant

You are hereby granted a non-exclusive, non-assignable, non-transferable license (subject to all of the terms and conditions of the Agreement) to (a) embed the Font Software (i) into an iOS, Android or Windows Phone Application, (ii) in a secure manner which does not allow an End User to access the Font Software outside of the Application; and (b) distribute worldwide such Application to End Users. Reber reserves all rights not expressly granted to you in this Agreement.

4. Restrictions on Use

You may not embed the Font Software (i) in any Application that allows the generation of output such as PDFs, word processing documents, spreadsheets, labeled photos, static images, scalable images, advertisements or other documents or data files, or (ii) in any Application that is a server component in a client/server architecture.

The Font Software may only be embedded in an Application where the Font Software does not represent a substantial component of, and does not represent the primary value or the functionality of the Application into which it will be embedded.

You agree that you will take no action which will have the direct or indirect effect of causing the Font Software to become publicly available software.

  1. Alterations to the Font Software

You may not alter the Font Software for the purpose of adding any functionality that such Font Software did not have when delivered to you by Reber. If the Font Software contains embedding bits that indicate that the Font Software is only authorized for certain purposes, you may not change or alter the embedding bits.

  1. Transfer of the Font Software

End User License Agreement (EULA) for web font software

 

This Web Font Software End User License Agreement (the “EULA” or “Agreement”) is a binding contract between you and Reber S.r.l. Unipersonale (further on also only “Reber”). By obtaining and/or installing the font software, you agree to the terms and conditions set forth in this Agreement. This is the agreement valid for all fonts by Reber unless a specific license is included within the purchased font package(s).

You hereby agree to the following:

  1. Definitions

“Application” means any software program which allows a Website visitor to Use or access the Licensed Web Fonts to create a document or file or to change the selection of Licensed Web Fonts or any other software used in or accessed by any document or file, including but not limited to server pages, web pages, documents and/or web-based documents.

 

“Commercial Product” means anything, other than web pages of your Web Sites, created by Use of the Web Font Software which is offered for distribution to the general public (or to some subset of the general public) in exchange for a separate fee or other consideration.

 

“Derivative Work” means binary data based upon or derived from the Licensed Web Font(s) (or any portion of the Licensed Web Font(s)) in any form in which such binary data may be recast, transformed, or adapted including, but not limited to, binary data in any format into which the Licensed Web Font(s) may be converted.

 

“Editing” means any input of text that is displayed using the Licensed Web Fonts. For the avoidance of doubt, Editing includes the insert of text into a form field.

 

“Licensed Web Fonts” means those fonts optimized for use on the Web, either individually or collectively, that you license from Reber S.r.l. Unipersonale.

 

“Reber” means Reber S.r.l. Unipersonale, its successors and assigns, its parent and affiliated corporations, its authorized distributors, and any third party that has licensed to Reber any or all of the components of the Web Font Software supplied to you pursuant to the EULA.

 

“Use” or “Using” of the Licensed Web Fonts shall occur when an individual is able to give commands (whether by keyboard or otherwise) that are followed by the Licensed Web Fonts, regardless of the location in which the Licensed Web Fonts resides. “Use” of the Licensed Web Fonts shall also occur when the software or instructions are executed.

 

“Web Font Kit” means a repository for the bundling of Licensed Web Fonts for Use on a Website. A Web Font Kit shall contain page view tracking code which must be retained by you and placed on all Websites which Use any Licensed Web Fonts.

“Website(s)” means a web site or web sites (i.e., a collection of web pages, images, videos or other digital assets that are hosted on one or more web servers, accessed from a common root Uniform Resource Identifier (URI)) which: (i) Uses or accesses the Licensed Web Font(s) in its web pages, (ii) does not in any way enable the permanent installation of the Licensed Web Font(s) by Website visitors on any printer or display which displays a screen image created by Use of or access to the Licensed Web Font(s), and (iii) reasonably restricts access to Licensed Web Font(s) from Use or access by web pages or any document not originating from such Websites.

  1. Binding Agreement

You are bound by the Agreement and you acknowledge that all Use of the Licensed Web Fonts is governed by the Agreement.

REBER DOES NOT REFUND PURCHASERS THAT AGREED TO THIS EULA.

  1. License Grant

The Licensed Web Fonts are licensed, not sold, to you for Use only under the terms of this EULA. Reber as the licensor, reserves all rights not expressly granted to you. You are hereby granted a non-exclusive, non-assignable, non-transferable license to Use the Licensed Web Fonts only on Websites which are owned or controlled by you, subject to the following conditions:

• you may not link to, nor put online, any version of a Licensed Web Font not supplied in a Web Font Kit;

• you may not Use the Licensed Web Fonts (1) in, as a part of, or in conjunction with, an Application, (2) for Editing, (3) in a Commercial Product;

• you may not use conversion or editing tools on the Licensed Web Fonts.

You are responsible for ensuring that the Licensed Web Fonts can only be used on the Websites for which the Web Font Kit was downloaded and cannot be used or referenced by any website other than a Website. This includes but is not limited to installing adequate technical protection measures that restrict the Use of and/or access to the Licensed Web Fonts, for instance by utilizing JavaScript or access control mechanisms for cross-origin resource sharing and protecting against use on web sites other than the Websites by restricting domain access only to such Websites. The failure to adequately protect the Licensed Web Fonts used for the Websites against Use on other websites shall be considered a failure to comply with this Agreement.

You shall identify all Licensed Web Fonts to visitors of Websites only by the Licensed Web Font’s original name and in accordance with accepted trademark practice, including identification of the trademark owner’s name. The Website’s font selection user interface must display the Licensed Web Font’s original name(s) and cite the source of the Licensed Web Font. You will only use the Licensed Web Font’s original name(s) to identify a Licensed Web Font which effects a faithful reproduction of the underlying font and which is of a quality sufficient to meet industry typographic quality standards. The use of any trademark authorized herein does not give you any rights of ownership in that trademark and all use of any trademark shall inure to the sole benefit of Reber.

  1. Transfer of the Licensed Web Fonts

You may not rent, lease, sublicense, give, lend, or further distribute the Licensed Web Font(s), or any copy thereof.

  1. Termination

Upon failure by you to comply with the terms of the Agreement, Reber shall be entitled to terminate the Agreement upon notice by regular mail, paid carrier, telefax or email/textform. The termination of the Agreement shall not preclude Reber from claiming damages for any breach of the Agreement.

6. License Fee

The Fee for the Web Font Software License is not reimbursable.

Such use of the trademarks does not give you any rights of ownership in those trademarks and all use of any trademark shall inure to the sole benefit of Reber. You may not change any trademark or trade name designation for the Web Font Software.

8. Termination

Upon failure by you (or any authorized person or member of your immediate household to whom you have given permission to Use the Font Software) to comply with the terms of this Agreement, Reber shall be entitled to terminate this Agreement upon notice by telefax, certified email or email. The termination of the Agreement shall not preclude Reber from claiming damages from you for breach of the Agreement.

Upon termination of the Agreement, you must destroy the original and any and all copies of the Font Software.
